AllSat, Inc. is an Authorized Retailer for DISH Network/EchoStar Communications Corporation. By placing your order by phone or via the Internet with AllSat (www.allsat.com), you are agreeing to the following terms and conditions governing your purchase of merchandise and/or services from AllSat. You further acknowledge that you are a first-time DISH Network residential customer. By placing your order, you are creating a legally binding contract with AllSat. If you do not agree to these terms, please do not order from AllSat.

Definitions
As used herein, the word "agreement" shall mean the Order Form you just completed and these Terms and Conditions of Purchase (including any terms incorporated by hyperlink). The words "you", "your", and "customer" shall mean the person completing this transaction.

Payment
You state that you are the authorized cardholder or that you have been authorized by the cardholder to use the credit card for payment. As an alternative form of payment you may be able to purchase a prepaid debit card via check by phone. If the check by phone payment is dishonored, rejected, or later contested for any reason, you agree to pay the full amount to AllSat plus any 3rd party collection costs. If you purchase a prepaid debit card and do not get DISH Network service for any reason, all refunds for those orders will only be processed back to the debit card.

The Order
Upon acceptance of your order by AllSat, AllSat will process your order and provide you an installation date for free standard professional installation to be performed through the DISH Network.

DISH Network Subscription
You understand that AllSat is not DISH Network but is an authorized DISH Network dealer/reseller. You agree to be bound by the terms of the DISH Network Residential Agreement found here.

Warranty
AllSat hereby disclaims all warranties, whether express or implied, including the warranties of merchantability and the warranty of fitness for a particular use. AllSat does not warranty or guaranty any DISH Network receivers or components and all warranty work must be done in accordance with the manufacturer's warranty found here.

Limitation of Liability
In no event shall AllSat be responsible for incidental or consequential damages arising by reason of your purchase of merchandise or services from AllSat. AllSat's maximum aggregate liability to you arising by reason of this transaction shall be the amount paid by you to AllSat.

Indemnity
You agree to indemnify and hold harmless AllSat against any costs, fines, claims, damages, charges, or fees (including reasonable attorney's fees) arising by reason of your purchase, the installation or use of the satellite equipment you are purchasing.

If notice is required, you agree to notify AllSat by e-mail at support@allsat.com or by writing to:

Notice will be deemed given when received by AllSat. AllSat will not be liable for problems caused by misdirected or undelivered e-mail or postal mail. AllSat will direct all correspondence to you at the postal address or email address provided on the Order Form unless you notify us of a change of address.

Enforcement of This Agreement
This agreement shall be governed by and interpreted in accordance with the laws of the State of Missouri, excluding its conflict of laws provisions. Any dispute under or in connection with this Agreement or any of the transaction contemplated herein shall be subject to the exclusive jurisdiction of and the personal jurisdiction within the state and federal courts within Greene County, Missouri. You hereby waive any objection you may have to personal jurisdiction in such courts. In the event you default on the terms of this agreement, you agree to pay to AllSat all costs, fees and expenses including reasonable attorney's fees.

Use of Electronic Records
You agree to AllSat's use of electronic records to evidence this agreement. You understand that you have the right to not consent to the use of electronic records by not transacting business with AllSat. In such event, this will be null and void. Your consent applies only to this transaction. You hereby waive any objection you may have to AllSat's use of electronic records in court should it be necessary for AllSat to enforce the terms of this agreement.

Miscellaneous Matters
This agreement constitutes the entire understanding of the parties with regard to your purchase. All prior representations, oral or written, and all prior agreements, oral or written, having been merged into this agreement. This agreement or any portion hereof shall not be construed against the drafting party by reason of that party having drafted the agreement or portion hereof. If any provision, paragraph, or subparagraph of this agreement is adjudged by any court of law to be void or unenforceable, in whole or in part, the rest of the agreement shall remain in effect. The parties agree that in such event, the offending clause will be replaced with a provision or provisions having the same economic effect. This agreement shall be binding on, and shall inure to the benefit of, the parties to it and their respective heirs, legal representatives, successors and assigns. In all matters contained in this agreement, time is of the essence.

BY ORDERING FROM ALLSAT, YOU HEREBY ACKNOWLEDGE THAT YOU HAVE READ THE ABOVE TERMS AND CONDITIONS, UNDERSTAND THEM, AND AGREE TO BE LEGALLY BOUND BY THEM.

THE FOLLOWING OFFERS REQUIRE A 24-MONTH COMMITMENT TO DIGITAL HOME ADVANTAGE:
THREE $39.99 CREDITS OFFER A customer who subscribes to qualifying programming, including America's Top 100 or higher, DishLATINO or higher, dishHD package or a qualifying International package, will receive three credits of $39.99 each. Credits will be applied to the first, tenth and twentieth months of service. Customer must maintain qualifying programming and remain in good standing and account must be in continuous service to receive all three credits. Maximum number of months with credits is 3. 9 FREE MONTHS OF DISHHOME PROTECTION PLAN Customer will receive DishHOME Protection Plan at no cost for the first 9 months. At the end of the 9-month period, customer must call DISH Network to cancel DishHOME Protection Plan or a $5.99 monthly charge will apply for the service. There will not be a Change of Service Fee for this downgrade.

DIGITAL HOME ADVANTAGE:
If qualifying service is terminated prior to end of 24 months, a cancellation fee equal to the lesser of $240 or $10 per month for each cancelled month of service will apply. Offer requires qualifying programming purchase. Customer must provide Social Security Number (or the last 4 digits of the Social Security Number) and a valid major credit card. Participation is subject to credit approval. Qualifying package price includes a monthly equipment rental fee for the first receiver, based on model of receiver: $5.00 for DISH Player-DVR 522/625, DISH 322, DISH 311; $7.00 for ViP622/722 DVR, ViP222, ViP211. In addition, customer will be charged a monthly equipment rental fee for each receiver beyond the first, based on model of receiver: $5.00/mo. per DISH Player-DVR 522/625, DISH 322, DISH 311; $7.00/mo. per ViP622/722 DVR, ViP612, ViP222, ViP211. ALL EQUIPMENT REMAINS THE PROPERTY OF DISH NETWORK AT ALL TIMES AND MUST BE RETURNED TO DISH NETWORK WITHIN FIFTEEN DAYS OF ACCOUNT DEACTIVATION OR CUSTOMER MUST PAY AN UNRETURNED EQUIPMENT FEE AS FOLLOWS: ViP622/722 DVR . $400; ViP612, DISH Player-DVR 522/625 . $300; DISH 322, ViP211 and ViP222 . $200; DISH 311 . $100; Outdoor LNBF and Quad Switch . $100.

Digital Home Advantage offer is available from DISH Network and participating retailers for new, first-time DISH Network residential customers (only 1 per household) in the continental United States through 7/31/08.

Customer may be required to pay a $99 lease upgrade fee for a second DVR receiver, based on model. Customer will be required to pay a lease upgrade as follows: $99 for each ViP612, $149 for a second ViP622 DVR receiver, $199 for a second ViP722 DVR receiver. The lease upgrade fees are not deposits and are non-refundable. Additional charges apply for other configurations. Participating retailers may require additional terms and conditions.

A customer who subscribes to a qualifying programming package (America's Top 100, America's Top 200, DishLATINO Plus, DishLATINO Dos or DishLATINO Max) plus local channels and selects a qualifying dual-tuner DVR will receive a discounted monthly cost. Customer must be eligible to receive local channels to receive the discounted monthly cost. Discounted price will continue to apply unless customer downgrades from either the qualifying programming package (America's Top 100, America's Top 200, DishLATINO Plus, DishLATINO Dos or DishLATINO Max) or local channels or removes qualifying dual-tuner DVR receiver from account. Then-current prices will apply for all programming and equipment fees.

If you change your residence, you are still bound to the terms and conditions of this agreement. The first DISH Network bill covers the first two months of service. All future bills will be for one month of service. All prices, packages and programming subject to change without notice. Number of channels may decline. Local and state sales taxes may apply. Where applicable, monthly equipment rental fees and programming are taxed separately.

The Digital Home Advantage includes a satellite TV system with an eligible configuration of up to 4 tuners, Standard Professional Installation and choice of qualifying programming, including DishFAMILY, America's Top 100, America's Top 100 Plus, America's Top 200, America's Top 250, DishLATINO, DishLATINO Plus, DishLATINO Dos, DishLATINO Max, Great Wall TV Package, Russian Mega Pack, Antenna Plus ERT World, Polish Super Pack, Arabic Elite Super Pack, Brazil Elite Pack, Hindi Mega Pack and dishHD package. Other programming may qualify.

For this offer, Standard Professional Installation includes typical installation of one single-dish antenna configuration, typical hook-up of up to 4 tuners to up to 4 TVs and equipment testing. More complex installations may require additional fees; other installation restrictions apply. Prices valid at time of activation only; additional fees will apply to upgrade after installation. No more than four tuners per account are permitted. No more than two dual-tuner receivers per account are permitted (including no more than two ViP622/722 DVR receivers, two ViP612 receivers), or a total of four single-tuner receivers (including no more than two ViP211 receivers) per account if no dual-tuner receivers are chosen. Up to two ViP612 receivers may only be added to an account with one ViP622/722 DVR receiver. Any unreturned equipment fees will automatically be charged to the customer's DISH Network account or the customer's credit or debit card provided to DISH Network.

Social Security Numbers are used to obtain credit scores and will not be released to third parties except for verification and collection purposes or if required by governmental authorities. Customer authorizes DISH Network to investigate creditworthiness. Customer further authorizes DISH Network to report any payment defaults to credit reporting agencies. Customer acknowledges and agrees that DISH Network is not extending credit and that the unreturned equipment fees are not interest, a credit service fee or a finance charge. DISH Network shall determine eligibility for this offer in its sole and absolute discretion.

Programming and other services provided are subject to the terms and conditions of the promotional agreement and Residential Customer Agreement, available at www.dishnetwork.com or upon request. There is a $5.00 Change of Service Fee for each programming change except a $10.00 Change of Service Fee for each Adult programming change.

Each of Customer's receivers must be continuously connected to Customer's same land-based phone line (or broadband home network, depending on receiver model). The $5.00 per month dual-tuner receiver additional outlet programming access fee(s) will be waived monthly for each such receiver DISH Network's equipment confirms is continuously connected to Customer's same land-based phone line (or broadband home network, depending on receiver model). DISH Network's confirmation process shall be the sole method utilized to determine if Customer's monthly additional outlet programming access fee(s) will be waived. A $5.98 per month DISH Network DVR Service fee will be charged for each DVR receiver. A $7.00 per month HD Enabling fee will be charged to an account that has one or more HD receivers but doesn.t carry qualifying HD programming, including dishHD package or higher.

Standard warranty includes no-cost repair/replacement of manufacturer defects during the first 90 days. After the first 90 days, a $14.95 shipping charge applies to warranty equipment replacement by mail, and a $99 in-home warranty trip service charge applies. Subscription to adult programming is restricted with the DishFAMILY programming package. ESPN and ESPN2 programming subject to change and blackout restrictions, and is licensed separately for residential and commercial use. Some games telecast locally may also be included in ESPN packages. FOX Sports Networks programming subject to blackout restrictions and licensed for residential use only. Regional sports networks not available in all areas. Local channels by satellite are only available to customers who reside in the specified local Designated Market Area (DMA). Channels may vary by market. Local channels may require an additional dish antenna from DISH Network, installed free of any charges with subscription to local channels at time of initial installation.
